Caniac Inside Contest

1. ELIGIBILITY: The Raising Cane's Caniac Inside Contest (the "Contest"), sponsored by Raising Cane's USA, L.L.C. (the "Sponsor"), is open to any person who is at least 18 years of age and a legal resident of the United States (except residents of Puerto Rico or States where prohibited by law). Employees, owners, and directors of Sponsor, or any of its subsidiaries, affiliates, and related companies, or any of their respective sales representatives, distributors, advertising and promotion agencies, and consultants, or any other company or person involved with the design, production, or execution of the Contest, and their immediate family members and members of their household, are not eligible to participate in the Contest. All federal, state and local laws and regulations apply.
2. HOW TO ENTER: Enter online by visiting www.raisingcanes.com (the "Website") during the Contest Period (as defined in Section 4 below) and following the Contest instructions thereon to (i) upload a photograph of yourself (which photograph must comply with the restrictions set forth in Section 3 below) (the "Uploaded Image"), (ii) superimpose and position the Raising Cane's sunglasses on the Uploaded Image, and (iii) submit the modified image (the "Modified Image") to Sponsor. Each Modified Image submitted to and received by Sponsor from an eligible person during the Contest Period constitutes an entry (an "Entry") into the Contest. There are no limits on the number of Entries that may be submitted. All Entries become the property of Sponsor and will not be returned or acknowledged. At the end of the Contest Period, eligible persons will no longer be able to submit their Modified Images to Sponsor for entry into the Contest.
3. RESTRICTIONS ON UPLOADED IMAGES: Each Uploaded Image, whether or not submitted to Sponsor for entry into the Contest, must (i) be a photograph of the person uploading the image; (ii) be in gif, jpg, or png file format; (iii) be submitted by the person owning all rights in and to the Uploaded Image, including without limitation the copyright; (iv) not infringe or violate the rights of another person (including without limitation any intellectual property, privacy or contract rights) or any applicable laws; (v) not be obscene, pornographic, libelous, scandalous, defamatory, illegal, discriminative, hateful, threatening or otherwise objectionable in the discretion of Sponsor; (vi) not interfere with or damage Sponsor or the Website and related activities; and (vii) not contain any corporate logos or any other material that may infringe on any third party's copyrights or trademarks or be uploaded for any commercial purpose. Any visitor to the Website agrees to and represents and warrants that he or she will comply with these restrictions when uploading photographs and/or images thereon.
4. CONTEST AND PROMOTION PERIODS: The Contest Period begins at 10:00 a.m. Central Time ("CT") on March 3, 2010 and ends at 11:59 p.m. CT on December 31, 2010 (the "Promotion Period"). The Promotion Period begins at 10:00 a.m. CT on March 3, 2010 and extends until terminated or cancelled by Sponsor in its sole discretion. Sponsor's computer is the official time-keeping device for the Contest. Throughout the Promotion Period, visitors to the Website will be able to follow the instructions listed to upload photographs of themselves (subject to the restrictions of Section 3 above), superimpose and position Raising Cane's sunglasses thereon, and email the Modified Images.
5. PRIZES: Up to 84 Entries (the "Winning Entries") will be selected by Sponsor at the conclusion of the Contest Period to be featured in a collage on one or more billboards as part of a Raising Cane's advertising campaign (the "Prize"). Sponsor shall have sole and absolute discretion in selecting the Winning Entries, but will take into consideration the following factors in making its selections: (i) the resolution/clarity of the Entry; and (ii) whether the Entry is consistent with Raising Cane's brand and core values. One (1) of the Winning Entries will be selected by Sponsor (in its sole and absolute discretion) at the conclusion of the Contest Period and the person submitting such Winning Entry (the "Grand Prize Winner") will receive a pair of Raising Cane's sunglasses. By submitting an Entry, entrants give their express permission to be contacted by Sponsor. Prize winners (i.e., those persons who submitted the Winning Entries) will be notified by e-mail. Sponsor's decisions with respect to the Winning Entries, the Grand Prize Winner, and all other matters relating to the Contest, are final. Odds of winning the Contest depend on the number of Entries.
6. PRIZE ACCEPTANCE: The prizes (i.e., the right to be featured in a Raising Cane's advertising campaign and the pair of Raising Cane's sunglasses, the "Prizes") are not assignable or transferable by any means, including, without limitation, by sale, gift, seizure or inheritance, and are not redeemable or exchangeable for cash or prize substitutions. The Prizes are also subject to any terms and conditions of use as may be indicated thereon. No substitution or cash redemption is allowed except by Sponsor, who may substitute a prize of equal or greater value if any of the Prizes becomes unavailable.
7. LIABILITY AND PUBLICITY RELEASE: By submitting an Entry, you agree for yourself, your heirs and your successors (i) irrevocably and unconditionally that Sponsor and/or its designee(s) shall have the right (i.e., a worldwide, royalty-free, non-exclusive, perpetual license) (but not the obligation) to use your Entry, Uploaded Image, Modified Image or other likeness, name, and biographical information, together with any other photographs, videos, and/or audio recordings made of you in connection with the Contest and/or your receipt, use and enjoyment of any Prize (the "Licensed Material"), in any and all media (including but not limited to television, internet, billboards and printed media) at no charge to Sponsor or its designee(s) and without your further permission for use or notice to you (for purposes of illustration, and not by way of limitation, you acknowledge and agree that the Licensed Material may be featured in future Raising Cane's advertising campaigns unrelated to the Contest in any media);(ii) that Sponsor and/or its designee(s) shall have the right to copy, display, post, reproduce, publish, add to, subtract from, change, revise or otherwise edit or create derivative works of the Licensed Material without limitation in any form, digital, physical or otherwise; (iii) to indemnify the Sponsor Released Parties from and against any and all claims, demands, causes of actions, liabilities, losses, expenses and damages, and all costs related thereto, including without limitation attorneys' fees, arising out of your actions in connection with the Contest or related activities, including but not limited to any claims arising from your uploading of photographs and/or images, submission of one or more Entries, or emailing of one or more Modified Images, or any claims by third parties that one or more of your Uploaded Images infringes the rights of such third party (including intellectual property, privacy and contract rights); (iv) to waive, release, discharge and hold harmless Sponsor and its subsidiaries, affiliates and related companies and each of their respective officers, directors, managers, members, shareholders, agents, representatives, employees, contractors, insurers and their respective successors and assigns (collectively, the "Sponsor Released Parties") from any and all claims, demands, causes of actions, liabilities, losses, expenses and damages, and all costs relating thereto, including without limitation attorneys' fees, of any kind arising out of, in connection with, or relating in any way whatsoever to your participation in the Contest or related activities, Sponsor's and/or its designee(s)' use of one or more of your Entries, Uploaded Images or Modified Images, or with respect to any Prize; and (v) that you will not make any claim or institute any suit or action at law or in equity, including but not limited to bodily injury, death or property damage, against the Sponsor Released Parties for any such claims.
8. OFFICIAL RULES; LIMITATIONS OF LIABILITY: By visiting the Website and uploading an image or photograph, each individual (and individual's parent/legal guardian if individual is a minor in his or her jurisdiction of residence) acknowledges and agrees to be bound by these Official Rules, which include, without limitation, agreement to submit any dispute to arbitration pursuant to the Rules of the American Arbitration Association, in East Baton Rouge, Louisiana, without resort to litigation. The uploading of any image or photograph to the Website constitutes acceptance of any decisions of Sponsor made with respect to the Contest and activities related thereto. Sponsor is not responsible for (i) any unavailable network, failed server or other connections, miscommunications, interrupted, misrouted or scrambled transmissions or other errors or problems of any kind with respect to the Website, the Contest, or activities related thereto, including without limitation the uploading or emailing of an image or photograph or submission of an Entry, whether caused by visitors to the Website, Sponsor, or mechanical, technical or electronic error, including without limitation any of the equipment or programming associated with or utilized in the Contest; (ii) any failure of the Website or any delays or failures that occur in the uploading, processing, transmission or receipt of Entries, Uploaded Images or Modified Images; (iii) for any problems or technical malfunction of any telephone network or lines, computer on-line systems, access providers, computer equipment, software, or any combination thereof, including any injury or damage to an entrant's or other person's computer relating to or resulting from participation in the Contest or activities related thereto; (iv) any inaccurate transcription of Entry or participant information; or (v) any Entries that are misdirected or lost. Entries are subject to verification and may be declared invalid if they are mechanically reproduced, forged, falsified, altered or tampered with in any way other than as contemplated by these Official Rules. The Contest and the Website are being provided "as is" without representation or warranty, express or implied, including but not limited to implied warranty of merchantability, fitness for a particular purpose and non-infringement. Notwithstanding any information posted on the Website or any email notifications to the contrary, the Contest, the Contest and Promotion Periods, the Prizes, and activities related thereto, are subject to change, termination, suspension, cancellation or rescission by Sponsor in its sole and absolute discretion for any reason and at any time, including if the Contest is not capable of being conducted as planned, including but not limited to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, abuse or technical failures. Sponsor reserves the right to (i) invalidate Prizes awarded to entrants if it determines that such Prizes were obtained improperly; and (ii) delay the processing of any Prize, without notice to the entrants, in order to assure compliance with these Official Rules. Sponsor also reserves the right, in its sole discretion, to disqualify any individual it suspects is violating the terms or spirit and intent of these Official Rules, including without limitation, those restrictions specified in Section 3, from participating in the Contest and/or activities related thereto and to void all of his or her Entries, and Sponsor further reserves the right to prosecute or seek other legal redress against anyone suspected of engaging in such acts. Sponsor also reserves the right to disqualify any individual it suspects is violating the terms or spirit and intent of these Official Rules from participating in other contests or promotions conducted by Sponsor and/or its affiliates and related companies.
9. PRIVACY: Sponsor may obtain certain personal information of entrants from their participation in the Contest and/or activities related thereto. Please see Sponsor's website (www.raisingcanes.com/privacy.html) for its privacy policy on use of personal information collected in connection with the Contest. Participation in the Contest by submission of an Entry constitutes participant's (i) acknowledgment and agreement to the terms of Sponsor's privacy policy and Sponsor's potential uses of personal information described therein, and (ii) consent, waiver and release of Sponsor for such use, including use by Sponsor and/or its affiliates for future communications. As set forth in its privacy policy, Sponsor does not sell or trade personal information of its customers or Contest participants to or with other parties. 10. WINNER LIST: For the names of the Contest prize winners, available after March 18, 2010, mail a stamped, self-addressed envelope to: Raising Cane's Caniac Inside Contest Winner's List, 5800 Tennyson Parkway Suite 200, Plano, TX 75024 to be received by Sponsor no later than March 31, 2010.
