OFFICIAL RULES

Effective: April 16, 2024

NO PURCHASE NECESSARY TO ENTER OR WIN A DRAWING. A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING A DRAWING.

1. Sponsor/Administrator: Raising Cane's Restaurants, L.L.C., 6800 Bishop Road, Plano, Texas 75024 (“Sponsor” or “Administrator”).

2. Overview: Sponsor is offering a promotion (“Promotion”) whereby randomly selected eligible Entrants (defined below) will receive tickets to the stock car races (collectively, the “Drawing”), currently scheduled to be held on April 20, 2024 at 12:30p.m. Eastern Time at the Talladega Superspeedway in Talladega, Alabama.

3. Eligibility: Promotion is open only to legal residents of the State of Alabama who are at least 18 years of age at time of entry with an active, non-private Instagram account. If you do not have the Instagram application, you may download it through the application store on your mobile device. The Instagram application is free, and Instagram’s Terms of Use apply. For details, visit http://instagram.com/legal/terms/. Void where prohibited by law. Employees of Raising Cane’s Restaurants, L.L.C., Raising Cane's USA, L.L.C., Raising Cane’s Franchising, L.L.C., Influencers, and their affiliated companies and advertising/promotion agencies, as well as immediate family members (spouse, parents, siblings, and children, whether biological, adopted, step or in-law) and household members (whether related or not) of each such employee are not eligible. Promotion is subject to all applicable federal, state and local laws and regulations. Participation constitutes full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to Promotion.

4. Influencers: The Influencers listed below will post Promotion details and a link to the Official Rules on the Instagram accounts referenced.

5. Drawing Details:

a. Date: Sponsor will select the Potential Winners on April 18, 2024 (the “Drawing Selection Date”).

b. Time: Entries will be accepted between 12:00p.m. Eastern Time on April 16, 2024 and 12:00p.m. Eastern Time on April 18, 2024 (“Drawing Entry Period”).

c. How to Enter: To enter the Drawing, eligible entrants should (i) visit the Instagram account of one of the Influencers during the Drawing Entry Period, (ii) find the Influencers’ Instagram collab post regarding the Talladega, Alabama Giveaway, (iii) like and comment with your favorite Raising Cane’s menu item in the Comments Section on the Talladega, Alabama Giveaway collab post (“Entry”). Limit one Entry total. Entries become the property of Influencer and will not be returned. Sponsor and Administrator are not responsible for lost, late, misdirected, incomplete, illegible or damaged entries.

If you enter on a wireless service provider’s network (as opposed to a WiFi network), your carrier’s text and data rates will apply. You should consult your wireless service provider’s pricing plan for details. You agree to incur any and all charges imposed by your wireless carrier.

All Entries submitted are collectively “Drawing Entries” and individually a “Drawing Entry.” Eligible participants having submitted a Drawing Entry are individually referred to as an “Entrant” and collectively, “Entrants.”

Maximum of one Entry per Entrant. Each participant must submit a Drawing Entry on his/her own behalf. The individual who submitted the Drawing Entry shall be designated as the official Entrant in the Drawing, regardless of any other individuals featured in the Drawing Entry, and the official Entrant shall be the only individual eligible for any resulting prize awarded. Any Drawing Entry submitted (a) on behalf of another individual, (b) using another person’s name or Instagram account, or (c) with any false information, including misrepresentation of age, will be disqualified. In the event of a dispute as to any Drawing Entry, the authorized account holder of the Instagram account used to enter the Drawing will be deemed to be the Entrant. The “authorized account holder” is the natural person assigned to the Instagram account (as assigned by Instagram, as the case may be) of the account name used to post the Entry submission. Proof of being the authorized account holder may be required. Any attempt by any participant to obtain more than one Entry on a single Influencer’s Talladega, Alabama Giveaway post by any means, including use of multiple/different social media handles, identities, or other method will void all of participant’s entries. Use of any automated system (including but not limited to third-party sweepstakes/contest entry services) to participate is prohibited and will result in disqualification and all such entries will be deemed void. Any questions regarding the number of Entries submitted or the identity of an authorized account holder shall be determined by Sponsor in its sole discretion.

Each Entrant agrees that their Drawing Entry may be viewed by the public. However, the fact that a Drawing Entry is viewable by the public does not constitute any representation as to Drawing eligibility or notification as a potential prize winner. Each Entrant agrees that s/he may be contacted, recorded and/or broadcasted by Sponsor, and that his/her Drawing Entry may be used, promoted, released, broadcasted, or published by Sponsor in any manner related to the promotion of the Drawing without additional approval, authorization, or compensation. Receipt of Drawing Entry will not be acknowledged by Sponsor. Sponsor may (but is in no way obligated to) publish, display, promote, or utilize your Drawing Entry in any manner of its choosing in relation to the promotion of the Drawing or Sponsor.

By participating and submitting a Drawing Entry, Entrant agrees that Sponsor and Released Parties (defined below) are authorized to contact Entrant via email, mail, phone or any other form of media to make contestant aware of information pertinent to the Drawing, and to distribute information regarding the Sponsor(s) featured products, discounts, special events or promotional offers. Contestants may opt-out of any further email communication at any time by clicking the UNSUBSCRIBE link provided in all promotional email messages from Sponsor and following the opt-out instructions. Any available opt-in opportunities are not required to enter the Drawing and checking the opt-in boxes will not improve your chances of winning.

Additional Entry Requirements: Sponsor reserves the right in its sole discretion to remove a Drawing Entry at any time for any reason, or disqualify any Entry it considers inappropriate or that violates any of the following Entry restrictions:

· Entry may not include any name, likeness, photograph/image, or any other identifying element, in whole or in part, of any person, living or dead, without such person’s permission;

· Entry may not be subject to any third-party agreement or require payment or incurrence of any sums to obtain further permissions of any person or entity as a result of its use or exploitation of the idea or rights therein or portions, or modified versions or derivative works thereof;

· Entry may not include trademarks, logos, or copyrighted material not owned by Entrant or Sponsor, or material used without permission (including but not limited to company names, photographs, works of art, or images published on any media) or that otherwise infringe or violate the rights of any third party (including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights (i.e., “droit morale”), or any other intellectual property rights) ;

· Entry may not feature, refer to, or mention any companies or brands of Sponsor’s direct competitors;

· Entry may not be considered harmful to minors in any way;

· Entry may not contain description or images of nudity, inappropriate, indecent, sexually explicit, pornographic, or obscene content, names or images (which shall be determined by Sponsor, in its sole and absolute discretion);

· Entry may not contain any political or politically themed or motivated messages, statements, or images;

· Entry may not defame, slander, libel, misrepresent, or contain disparaging remarks or any other content that could adversely affect the name, reputation, or goodwill/business reputation of Sponsor or any other individuals and/or entities affiliated or associated with Sponsor, the Drawing, or any prizes, the determination of which shall remain in the sole discretion of Sponsor;

· Entry may not depict, describe, or include images that may be considered unlawful, harmful, threatening, violent, abusive, harassing, tortious, defamatory, vulgar, libelous, invasive of another’s privacy, hateful, or racially, religiously, or ethnically objectionable in any manner as solely determined by Sponsor.

Representations and Warranties: Each Entrant represents and warrants that s/he has sole and exclusive ownership and proprietary rights of the Drawing Entry, Entrant has secured full permission of all persons or parties referenced in the Drawing Entry to publish their names, images, and actions shown within the Drawing Entry, and agrees that each Drawing Entry becomes the sole and exclusive property of Sponsor. Sponsor reserves the right to request from any Entrant at any time proof, in a form acceptable to Sponsor, of any permission required or possibly required to use such Entrant’s Drawing Entry. Failure to provide such requested proof may disqualify such Drawing Entry. A Drawing Entry constitutes permission for the Sponsor and its designees to use that Entrant’s name, city, state of residence, and/or likeness for all commercial purposes in any and all media now or hereafter known worldwide in perpetuity without limitation or compensation, notification or permission, unless prohibited by law.

d. Winner Selection and Drawing Prize Claim Process: Once the Drawing Entry Period ends and no later than 3:00p.m. Eastern time on the Drawing Date, Sponsor will randomly select from all eligible entries sixteen (16) Entrants to each receive a Drawing Prize, subject to verification (the “Potential Drawing Winners”).

The Potential Winners will be notified initially by direct message to the Potential Winner’s Instagram account used to enter (“Notification”). Sponsor expressly disclaims any and all liability in connection with an inability to contact a Potential Winner due to the configuration of his/her Instagram privacy settings.

If the Sponsor is unsuccessful in its attempt to reach a Potential Winner via direct message within 12-hours of the initial Notification attempt to the Instagram account associated with that Entrant’s Drawing Entry, then Entrant may be disqualified, and an alternate Potential Winner may be selected from among the remaining eligible Drawing Entries and notified following the procedures outlined above.

After Notification, a Potential Winner must verify his/her eligibility, and indicate a willingness and ability to accept the prize. Potential Winner may then receive official notification via email delivery. If a Potential Winner does not meet the eligibility requirements, or elects to decline the prize, s/he will be disqualified and, at Sponsor’s discretion, an alternate Potential Winner will be selected from among all remaining Entries received as set forth above and notified per the procedures outlined above, time permitting. Any disqualified Entrant will not receive any alternate prize substitution or compensation of any kind. There is a maximum of 1 prize per person in this Drawing. Decisions of the Sponsor/Administrator in the selection and determination of prize winner and all matters relating to this Drawing are final and binding.

All of the following may apply to Potential Winners (each a “Winner”): 1) Winner may be required to complete and return, within 12 hours of date of receipt, a prize acceptance form, an affidavit of eligibility, and a liability/publicity release (where permitted); 2) Winner may be required to present a copy of a valid social security card and a valid driver’s license (or other valid government issued photo ID) as a condition of receiving a prize; 3) Winner will be issued an IRS Form 1099 reflecting the actual value of prizes won if a prize value equals or exceeds $600; and 4) Winner is responsible for paying all applicable taxes (including, but not limited to all local, state and federal taxes) on any prize awarded. Failure to collect or properly claim a prize in accordance with these Official Rules will result in forfeiture of the prize. If forfeited for any reason, Winner will not receive a prize substitution or compensation of any kind, and the prize will remain the property of Sponsor and will not be awarded, except as provided herein.

Receipt of a Drawing Prize by a Drawing Winner is upon the condition of compliance with any and all federal, state, and local laws and regulations. IF A DRAWING WINNER VIOLATES ANY OF THESE OFFICIAL RULES AND/OR APPLICABLE LAW, THAT DRAWING WINNER (AT SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS DRAWING WINNER WILL BE IMMEDIATELY TERMINATED.

e. Drawing Prize: Each Drawing Prize includes:

i. Two (2) Grandstand Admission Tickets and two (2) Infield Admission Tickets for the stock car races scheduled to be held on Saturday, April 20, 2024, starting at 12:30p.m. Eastern Time, at the Talladega Superspeedway located at 3366 Speedway Blvd, Talladega, Alabama. Sixteen (16) Prizes are available. Approximate Retail Value (“ARV”) of each Drawing Prize is $162.00.

ii. The total ARV of the Drawing Prizes is $2,592.00.

All Drawing Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation any implied warranty of merchantability or fitness for a particular purpose). Drawing Prizes will be emailed to each Winner at the email address provided to Sponsor on signed prize acceptance form and will be deemed delivered to the Winner once Sponsor has clicked the “Send” button on the email. Sponsor/Administrator will not be responsible or liable for a late, delayed, lost, stolen, undeliverable or damaged Drawing Prizes once email has been sent, for any loss or damages relating to delivery, use, or misuse of a Drawing Prize, or for any Entrant who provided Sponsor with an incorrect email address.

6. No Transfer; Non-Use: Prizes may not be transferred, and no cash redemptions or substitution of any Drawing Prize will be made; provided, however Sponsor reserves the right, in its sole discretion, to substitute a Drawing Prize in whole or in part with one of comparable or greater value if a featured Drawing Prize becomes unavailable. Once a Drawing Prize is claimed, Sponsor is not responsible for winner’s use or non-use of a Drawing Prize. Drawing Prizes are also subject to any terms and conditions of use as may be indicated thereon.

7. Publicity: Except where prohibited by law, by participating in the Promotion or accepting a Drawing Prize, all participants and winners agree to the use by Sponsor, and those authorized by Sponsor, of such participant’s name, likeness, photograph, voice, opinions, demographic profile, hometown, and state for promotional purposes in any media, worldwide, without further payment or consideration.

8. General Conditions: Sponsor reserves the right to cancel, suspend, and/or modify a Promotion, or any part of it, if any fraud, human error, or other factor impairs the integrity of a Promotion or reflects poorly upon Sponsor, as determined by Sponsor in its sole discretion. Sponsor reserves the right to disqualify any individual it finds to be interfering with the operation of a Promotion or to be acting in violation of the Official Rules or in an unsportsmanlike or disruptive manner. In the event of early termination of the Drawing, Sponsor reserves the right to determine a designated number of Prize Winners in one randomized drawing of all eligible, non-suspect Entries received as of the time/date of such Drawing termination. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.

9. Release of Liability: By participating in this Promotion or accepting a Prize, participants and Drawing Prize Winners agree to release and hold harmless Raising Cane’s Restaurants, L.L.C., Raising Cane’s USA, L.L.C., Raising Cane’s Franchising, L.L.C., Talladega Superspeedway, LLC, and their licensees, and all of their respective parents, subsidiaries, affiliates, suppliers, distributors, prize suppliers, advertising/promotion agencies, and each of their respective affiliated companies and all of their officers, directors, employees, representatives, contractors, and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in a Promotion or acceptance, possession, use, or misuse of any Prize.

10. Limitations of Liability: Released Parties are not responsible for: (1) lost, stolen or damaged property or Prizes; (2) unauthorized human intervention in any part of the entry process or conducting of a Promotion; (3) human error that may occur in the administration of a Promotion; or (4) any injury or damage to persons or property that may be caused, directly or indirectly, in whole or in part, from participation in a Promotion or receipt or use or misuse of a Prize. Released Parties shall not be liable to Winner or any other person for failure to supply the Prize or any part thereof by reason of any event of force majeure, including without limitation, any acts of God such as an epidemic, pandemic, any actions, regulations, orders, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause beyond Released Parties’ control.

RELEASED PARTIES HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY CLAIM, LOSS, INJURY, DAMAGE, DELAY, ACCIDENT, COST OR EXPENSE (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES AND COSTS OF SUIT), NOR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATED TO (I) THESE OFFICIAL RULES; (II) ANY PORTION OF, OR THE WHOLE OF, A PROMOTION OR PRIZE; (III) ANY FAILURE, DELAY OR DECISION BY SPONSOR OR ADMINISTRATOR IN ADMINISTERING A PROMOTION, OR ANY PART THEREOF; (IV) ANY BREACH OF SECURITY IN CONNECTION WITH A PROMOTION; OR (V) ANY OFFER, REPRESENTATION, STATEMENT, OR CLAIM ABOUT A PROMOTION MADE BY RELEASED PARTIES OR ANY OTHER PERSON OR ENTITY.

The foregoing limitations of liability apply whether the alleged liability is based on contract, negligence, tort, strict liability or other basis, even if Released Parties or their representatives have been advised of or should have known of the possibility of such losses and damages, and without regard to the success or effectiveness of other remedies.

IN NO EVENT WILL RELEASED PARTIES’ MAXIMUM COMBINED AGGREGATE LIABILITY HEREUNDER FOR ANY CAUSE WHATSOEVER IN ANY CALENDAR YEAR ARISING OUT OF OR IN CONNECTION WITH ANY OF THE MATTERS DESCRIBED ABOVE EXCEED THE ARV OF THE PRIZE.

11. In Case of Disputes: By participating, each Entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Drawing, or any prize, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the state of Texas; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs associated with entering this Drawing, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, or consequential damages, and any rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Entrant and Sponsor in connection with this Drawing, shall be governed by and construed in accordance with the laws of the state of Texas, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Texas or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than Texas.

12. Privacy: Sponsor is committed to protecting privacy. Winner must provide shipping information disclosing their name, email address, mailing address, and phone number. This information will only be used for contacting a winner and awarding the prize. Sponsor may retain any Entry and winner selection information for recordkeeping purposes, but the information will not be used for any other purposes, except as described in these Official Rules. Sponsor does not sell any personal information collected as part of this Drawing. Depending on your jurisdiction, applicable law may entitle you to certain consumer rights regarding the processing of your personal information. For more information about exercising your rights and Sponsor’s data collection and processing practices generally, please review Sponsor’s Privacy Policy at https://www.raisingcanes.com/privacy-policy.

13. Winners’ List: For a copy of these Official Rules or a list of the prize winners, send a self-addressed, stamped envelope to: Raising Cane’s Talladega, Alabama Giveaway, c/o Raising Cane’s Restaurants, LLC, 6800 Bishop Road, Plano, TX 75024. Please specify whether you are requesting official rules or a list of the Winners. Requests must be received by 5/25/2024.

14. Odds of Winning: Odds of being selected as a Potential Winner depend on the total number of eligible Entries received during the Drawing Entry Period.

This Drawing is not affiliated with or sponsored, sanctioned, or endorsed by or in any way in association with Instagram. Instagram has no liability or responsibility for any claim arising in connection with this Drawing or any prize awarded in connection therewith.
